Acceptance of Terms

These Terms of Service govern the use of the company's website, tools, and any services provided under an engagement. By accessing or using the services, users agree to be bound by these terms and any additional terms incorporated by reference. If an individual or organization does not agree with the terms, they must not use the services.

Service Usage

Services are provided according to the scope, timelines, and fees agreed upon in a separate statement of work or engagement letter. The organization will use commercially reasonable efforts to deliver services in a professional and timely manner. Clients are expected to provide accurate information, timely feedback, and reasonable access to resources necessary for the completion of work. Unauthorized modification, reverse engineering, or misuse of any provided materials is prohibited.

Intellectual Property

Unless otherwise agreed in writing, the organization retains ownership of pre-existing intellectual property, proprietary methodologies, templates, and tools used in delivery of services. Deliverables created specifically for a client as part of a paid engagement will be licensed to the client for internal use upon full payment, except where third-party components are used and governed by separate licenses. Any public use of the company’s branding, case studies, or other materials requires prior consent.

Limitation of Liability

To the maximum extent permitted by law, the company's liability arising from or related to its services or these terms is limited to direct damages and capped at the total fees paid by the client for the relevant services during the twelve months preceding the claim. The organization will not be liable for indirect, incidental, special, or consequential damages, including loss of profits or data, even if advised of the possibility of such damages.

Termination

Either party may terminate an engagement as specified in the applicable agreement. The company may suspend or terminate access to services if a client breaches these terms, fails to make timely payments, or otherwise compromises the security or integrity of deliverables. Upon termination, the client will pay for services rendered up to the termination date and will receive any deliverables for which payment has been made. Provisions that by their nature should survive termination, including intellectual property, limitation of liability, and confidentiality, will remain in effect.

Changes to Terms

The company reserves the right to modify these Terms of Service from time to time. Material changes will be communicated through the website or other reasonable channels. Continued use of the services after publication of changes constitutes acceptance of the revised terms. Users are encouraged to review the terms periodically to stay informed of updates.
